Margaret is a member of Cairncross & Hempelmann’s Corporate Finance & Business Transactions team. Her business practice focuses on franchise system development, structuring and compliance, system management and corporate governance, with a particular emphasis on emerging and entrepreneurial businesses. She has more than 25 years’ experience representing privately and publicly held clients in stock and asset acquisitions, venture capital investments, franchise system development and regulatory compliance, and corporate governance, and is also an active advisor to nonprofit boards in the Seattle community.

Margaret previously practiced in the business transactional groups at Stoel Rives LLP and Preston Thorgrimson Shidler Gates & Ellis (now K&L Gates), representing privately and publicly held clients in stock and asset acquisitions, venture capital investments, franchise system development and regulatory compliance, and corporate governance. Immediately after receiving her J.D., she served as a clerk to the Hon. Diarmuid F. O’Scannlain in the U.S. Court of Appeals for the Ninth Circuit.

  • Mrs. Fields Cookies (handled continuing national franchise compliance)
  • Starbucks Coffee Company (negotiated first license agreement with major leaseholder for non-company-owned kiosks)
  • Seattle’s Best Coffee (drafted master license agreements and supply contracts; handled continuing national franchise compliance)
  • Ricenroll (drafted contracts and compliance and negotiated leases for startup franchisor)
  • Ezell’s Famous Chicken (drafted master license agreement for franchising entity; drafted contracts and compliance for franchisor)
